This Term Sheet sets forth the pre-negotiated rates for use of musical cues (“Cues”) from the Alibi Music Production Library (“Licensor”) in conjunction with short form content to be created by Pixar Animation Studios and/or Walt Disney Animation Studios (collectively, “Licensee”) specifically for the Disney+ Streaming Service (collectively, “Productions”). For the effective dates of this Term Sheet as set forth below, Confirmation Letter Agreements (“CLAs”) issued by Licensee or Licensee’s subsidiaries for use of the Cues in the Productions shall refer to this Term Sheet.
The rates on this Term Sheet shall be effective from May 1st, 2020 through April 30th, 2024.

Alibi: Standard Catalog (Music): $800 per cue, Sound Design: $350 per cue. $400 per cue if 2 or more cues are used.
All rates set forth herein are on a confidential and non-precedential basis.
Unless otherwise set forth in the applicable CLA, the rights granted from Licensor to Licensee shall be for use of the Cues in the Productions and any in-context trailers, marketing, advertising and promotions for the Productions in all media now known or hereafter devised (including an audiovisual buyout) throughout the universe in perpetuity. The Productions embodying the Cues may be released as stand- alone content and/or at the front or end of a motion picture and/or within other compilations for exploitation in any manner. Except as specified herein or in any applicable CLA, all other terms shall be consistent with the License Agreement dated as of May 1, 2020 between Licensor and Walt Disney Studios Motion Pictures, Disney DTC LLC, and Buena Vista Home Entertainment, Inc.
